Terms of service

The agreement between you and VVNEX LLC, 225 Roy St, Seattle, WA 98109, United States, which operates Quizpedition. They apply when you create an account or use the service.

We've written them to be read. Where a clause limits what you can claim from us, we've said so plainly rather than burying it — those parts matter most and you should read them properly.

Definitions

A few words we use

You — the person or organisation with the account. Planner — the same thing, in the app. Player — someone who joins a game you run; they have no account with us. Content — the games, quests, challenges, text, images and branding you create or upload. Service — Quizpedition itself, including the planner app, the player experience and this website.

Your account

Your account

You need an account to build games. Keep your login details to yourself, use a real email address we can reach you at, and tell us promptly if you think someone else has got into your account.

You're responsible for what happens under your account, including anything done by people you've given access to.

You must be at least 18 and able to enter into a contract. If you're signing up for an organisation, you're confirming you're allowed to commit them to these terms.

Plans & payment

Plans, billing and overage

Plans are billed monthly or annually in advance through Stripe. Each plan includes a number of player-joins per month; if more people join your games than your plan includes, the extra is charged at your plan's per-player rate at the end of that month. Current prices and included amounts are on our pricing page.

A player-join is counted when someone joins a game. If a host removes a player afterwards, the join has already happened and still counts.

Charges are in US dollars and exclude any taxes you may owe locally.

If a payment fails, we'll retry and email you. Games that are already running keep the features they were built with for 30 days while you sort it out. After that, your plan drops to Free and plan-only features stop applying to new work.

If we change prices, we'll give you at least 30 days' notice by email. The new price applies from your next renewal, so you're never charged more than you expected within a period you've already paid for.

Changes & refunds

Changing plan

You can move between plans at any time. A game that is already running keeps the features it was built with until it finishes, so changing plan never breaks an event that's underway.

Refunds and cancellations

Subscriptions are non-refundable. When you cancel, or move to a lower plan, the change takes effect at the end of the billing period you've already paid for — you keep the plan you're on until then rather than losing it mid-month. Add-ons work the same way.

Deleting your account is different: it cancels your subscription immediately and we don't refund the remainder of the period. If you only want to stop paying, cancel rather than delete.

We may issue a refund in exceptional circumstances, entirely at our discretion. That's a goodwill measure rather than something you can rely on.

Your content

Your content stays yours

Everything you create or upload — games, quests, challenges, text, images, your branding and your clients' branding — remains yours. We don't claim ownership of any of it, and we don't use it to promote Quizpedition without asking you first.

To run the service we need your permission to store, copy, display and process that content: showing your game to the players you invite, generating previews, and keeping backups. That permission exists only so we can operate the service for you, and it ends when you delete the content or your account.

You keep responsibility for having the rights to whatever you upload — including images, logos and any content belonging to your clients.

Players

The people who play your games

Players aren't party to these terms — their relationship is with you. You choose who plays, and you're responsible for the experience they have.

Whichever plan you're on, you're the controller for your players and we're your processor — so providing a player-facing privacy notice is your responsibility. Our privacy page sets out exactly what we hold on your behalf and for how long; your notice should cover the same ground, and you're welcome to link to it or lift from it.

This matters most on white-label plans, where players see your branding rather than ours — and with a custom domain, never encounter quizpedition.com at all. There, your notice is the only one they'll see.

Acceptable use

What you can't use it for

Don't use Quizpedition to host, distribute or collect anything illegal, anything that infringes someone else's rights, or anything designed to harass or endanger people.

Don't try to break, overload, probe or reverse-engineer the service, and don't use it to send unsolicited messages.

Running games for your clients is exactly what this is for. Reselling accounts is not. You can charge your clients whatever you like for games you build and run — that's the point of the Studio plan. What you can't do is resell access to the planner app itself, or operate Quizpedition as a platform under your own name for other people to build on.

If something you've uploaded breaks these rules, we may remove it. If the breach is serious or repeated, we may suspend or close your account — we'll tell you why, and where it's reasonable to do so we'll give you a chance to put it right first.

Availability

Availability, and what we don't promise

We work hard to keep Quizpedition running and we'll tell you promptly when something is wrong. But we don't offer a service level agreement, and we can't promise the service will be uninterrupted or error-free.

We may need to change, suspend or withdraw parts of the service. Where a change would materially reduce what you're paying for, we'll give you reasonable notice and you can cancel.

Warranties

No warranties

Quizpedition is provided as it is and as it's available. To the fullest extent the law allows, we disclaim all warranties, express or implied — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the service will meet your requirements, that it will be available at any particular time, or that it will be free of errors.

Liability

Where our liability ends

To the fullest extent the law allows, our total liability to you for all claims connected with Quizpedition is limited to the amount you paid us in the twelve months before the claim arose.

We are not liable for indirect or consequential loss of any kind — including lost profits, lost business, lost revenue, lost goodwill, wasted expenditure, or the costs of an event that did not go as planned — even if we knew such loss was possible.

We are not responsible for the outcome of your event. Technology fails, venues lose connectivity, and phones run out of battery. You are responsible for deciding whether to run a game at a given event and for having a contingency if it can't run.

Nothing here limits liability that can't lawfully be limited — including for death or personal injury caused by negligence, or for fraud.

Indemnity

If someone claims against us because of you

If a third party brings a claim against us arising from your content, from how you ran a game, or from your breach of these terms, you'll defend us against it and cover the reasonable costs, damages and legal fees involved.

We'll tell you promptly about any such claim and won't settle it without your agreement.

Ending

Ending this agreement

You can stop using Quizpedition and close your account whenever you like.

We may suspend or close an account that breaches these terms, that hasn't paid, or where we're required to by law. Except where the breach is serious or we have no choice, we'll tell you first and give you a chance to fix it.

If we close your account without cause, we'll refund the unused part of anything you've paid in advance.

The clauses that should survive the end of this agreement do — including the ones on liability, indemnity and governing law.

Governing law

Which law applies

These terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in King County, Washington, and you and we both agree to that jurisdiction.

Changes & contact

Changes to these terms

We may update these terms. If a change materially affects your rights we'll email account holders at least 30 days before it takes effect, and you can cancel before then if you don't accept it. Minor changes take effect when we post them, and the date at the top always shows the last update.
